These Terms of Service ("Terms") govern access to and use of THEWATCH, a security operations automation platform operated by PROVE iT! Forensics ("THEWATCH," "we," "us"). By creating an account, accepting an invitation to join an organization's account, or otherwise using THEWATCH, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer").
THEWATCH provides monitoring, alerting, automated response, and case-management tooling that connects to a Customer's own security and IT tools. Customer controls what connectors it enables, what data flows into THEWATCH, and what automated actions (if any) THEWATCH is authorized to take on Customer's behalf.
Accounts are organized around a Customer organization. The organization's admin(s) invite users and assign roles that control what each user can see and do. Customer is responsible for the accuracy of the information used to set up its account, for keeping login credentials confidential, and for all activity that occurs under its organization's account, including actions taken by users it has invited.
Customer agrees not to: use THEWATCH to monitor or take automated action against systems it does not own or have authorization to monitor; attempt to gain unauthorized access to THEWATCH or another customer's data; reverse-engineer or resell THEWATCH except as expressly permitted; use THEWATCH to violate applicable law; or interfere with the security or normal operation of the service.
THEWATCH allows Customer to configure automated detection logic ("Watches") and automated or approval-gated response actions ("Playbooks"). Customer is solely responsible for configuring and reviewing any automated action before enabling it, especially actions that can affect production systems, user accounts, or access controls. Where THEWATCH offers an approval-gated mode for higher-risk actions, Customer is responsible for deciding which actions require approval. THEWATCH is not responsible for the consequences of automated actions that Customer configured and authorized.
As between the parties, Customer retains all rights to the data it sends into THEWATCH (its own security telemetry, alerts, and case records). Customer grants THEWATCH the limited right to process that data solely to provide the service. See our Privacy Policy for how data is handled. On termination, Customer may request export or deletion of its data as described there.
We aim to keep THEWATCH reliably available but do not currently guarantee a specific uptime commitment outside of a signed enterprise agreement that states one. We'll make reasonable efforts to notify Customer of planned maintenance or known service issues that materially affect availability.
THEWATCH and its underlying software, design, and branding are the property of PROVE iT! Forensics. These Terms do not grant Customer any rights to THEWATCH's intellectual property beyond the right to use the service as intended. Customer retains ownership of its own data and any content it uploads.
Each party agrees to protect the other's confidential information with reasonable care and to use it only as needed to perform under these Terms. This does not limit either party's ability to comply with legal obligations, including law enforcement requests made through proper legal process.
THEWATCH is provided "as is" and "as available." Like any monitoring and detection tool, it may not catch every threat, and no security product can guarantee that an environment is fully protected. To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
To the extent permitted by law, THEWATCH and PROVE iT! Forensics will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from use of the service. Our total liability for any claim relating to THEWATCH will not exceed the amount Customer paid for the service in the twelve months before the claim arose.
Customer agrees to indemnify THEWATCH against claims arising from Customer's misuse of the service, violation of these Terms, or violation of applicable law, including claims arising from automated actions Customer configured.
These Terms apply for as long as Customer has an active account. Either party may terminate a subscription as described in the applicable order or pricing terms. We may suspend or terminate access if Customer materially breaches these Terms and does not cure the breach after reasonable notice, or if required to prevent harm to THEWATCH or other customers.
We may update these Terms as THEWATCH evolves. We'll update the "Last updated" date above when we do, and for material changes we'll make a reasonable effort to notify account admins directly. Continued use after a change takes effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the jurisdiction in which PROVE iT! Forensics is organized, without regard to conflict-of-law principles, except where applicable law requires otherwise.
